1. Acceptance of Terms
By accessing or using any website, application, or service operated by Mills Price, LLC ("Mills Price," "we," "us," or "our"), including millsprice.io and the Mills Mainline Network (collectively, the "Services"), you agree to be bound by these Terms of Use. If you do not agree to these terms, do not use the Services.
If you are using the Services on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.
2. Description of Services
Mills Price operates a market data business focused on the refined petroleum products rack market. Our Services include Mills Mainline Network: A free-to-use intelligence network that collects and routes anonymized market information among participants.
3. Account Registration and Security
To access certain Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information as necessary. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
4. User Contributions and Data
4.1 Data Submission
Certain Services operate on a "give-to-get" model. By submitting pricing information, market intelligence, or other data through our Services ("User Data"), you agree that Mills Price may collect, process, anonymize, aggregate, and use such data as described in these Terms and our Privacy Policy.
4.2 License Grant to Mills Price
You grant Mills Price a perpetual, worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, adapt, aggregate, anonymize, and distribute User Data for the purpose of operating and improving our Services, creating aggregated market data products, and for any other lawful business purpose. This license survives termination of your account.
4.3 Representations and Warranties
You represent and warrant that: (a) you have the right to submit User Data; (b) the User Data is accurate to the best of your knowledge; (c) submission of User Data does not violate any agreement to which you are a party or any applicable law; and (d) User Data does not infringe any third-party rights.
4.4 Data Confidentiality and Protection
(a) Source Confidentiality. Mills Price treats the identity of data contributors as confidential. We will not publicly disclose the identity of any participant submitting User Data without the participant's prior written consent, except as required by law or regulatory authority.
(b) Anonymization and Aggregation. All User Data submitted through the Mills Mainline Network is anonymized and aggregated before any publication or distribution. Individual transaction-level data is used solely for constructing anonymized market indicators and assessments. Mills Price does not publish, distribute, or make available any User Data in a form that would permit identification of the submitting party or their specific transactions.
(c) Internal Access Controls. Access to individual, non-aggregated User Data is restricted to Mills Price personnel with a legitimate business need for such access in connection with operating and improving the Services. Mills Price maintains administrative, technical, and physical safeguards designed to protect User Data from unauthorized access, use, or disclosure.
5. Proprietary Rights
5.1 Ownership
Mills Price and its licensors own all intellectual property rights in the Services, including all software, content, data, methodologies, and documentation (collectively, "Mills Price Content"). The Services and Mills Price Content are protected by copyright, trademark, and other intellectual property laws.
5.2 Limited License
Subject to your compliance with these Terms, Mills Price grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services and Mills Price Content solely for your internal business purposes.
6. Restrictions on Use
You agree not to:
Use the Services or Mills Price Content to create any product or service that competes with Mills Price;
Share, sublicense, sell, or transfer your access credentials to any third party;
Use the Services in any manner that violates applicable laws or regulations;
Reverse engineer, decompile, or disassemble any aspect of the Services;
Interfere with or disrupt the integrity or performance of the Services.
7. Disclaimer of Warranties
THE SERVICES AND MILLS PRICE CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. MILLS PRICE DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
Mills Price does not warrant that: (a) the Services will be uninterrupted or error-free; (b) defects will be corrected; (c) the Services are free of viruses or harmful components; or (d) the Mills Price Content is accurate, complete, or current. Market data provided through the Services are estimates and opinions, not statements of fact.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MILLS PRICE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
YOU ACKNOWLEDGE THAT THE SERVICES ARE PROVIDED FREE OF CHARGE AND THAT MILLS PRICE'S AGGREGATE LIABILITY FOR ANY DIRECT DAMAGES SHALL NOT EXCEED THE GREATER OF (A) ANY FEES ACTUALLY PAID BY YOU TO MILLS PRICE FOR THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM. IN LIEU OF MONETARY DAMAGES, MILLS PRICE WILL USE COMMERCIALLY REASONABLE EFFORTS TO ADDRESS VERIFIED SERVICE DEFICIENCIES THROUGH CORRECTIVE MEASURES OR SERVICE IMPROVEMENTS.
9. Indemnification
You agree to indemnify, defend, and hold harmless Mills Price and its officers, directors, employees, agents, and affiliates from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any third-party rights; or (d) any User Data you submit.
10. Termination
Mills Price may suspend or terminate your access to the Services at any time, with or without cause, upon notice. Upon termination, your right to use the Services ceases immediately. Sections 4.2, 5, 7, 8, 9, 11, and 12 shall survive termination.
11. Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in New York County, New York. You irrevocably consent to the personal jurisdiction of such courts.
12. Miscellaneous
These Terms constitute the entire agreement between you and Mills Price regarding the Services. If any provision is held invalid, the remaining provisions shall continue in effect. Mills Price's failure to enforce any right shall not constitute a waiver. Mills Price may assign these Terms without your consent. You may not assign these Terms without Mills Price's prior written consent.
